M&A Advisory

Financial advice for evaluating, negotiating, financing, and completing bank acquisitions, sales, and combinations.

Buying context

Why it matters

A transaction changes ownership, capital, systems, customers, staff, and risk at once. Valuation ranges and process advice depend on assumptions, incentives, information quality, and adviser conflicts.

Due diligence

Questions to ask

  1. How is the adviser paid, and what outcomes, financing, or counterparties create additional compensation?
  2. Which valuation methods and assumptions drive the analysis, including cost saves, marks, growth, and capital needs?
  3. What relationships does the adviser have with possible buyers, sellers, investors, lenders, or directors?
  4. How will operational, technology, credit, culture, customer, and regulatory diligence affect the financial case?
